These Terms and Conditions govern your use of this website and your engagement with Sahara Cortex for the services described on this site. By submitting an enquiry, booking a service, or entering into a scope agreement with us, you confirm that you have read and agree to these terms.
1. Definitions
- "We", "Us", "Our": Sahara Cortex, registered and operating in Dubai Silicon Oasis, Dubai, UAE.
- "You", "Client", "User": The individual or organisation using our website or engaging our services.
- "Service": Any of the three services offered — Predictive Maintenance Pilot, Document Generation Helper, or Initial Conversation.
- "Scope Agreement": The written document agreed between both parties before project work begins, defining deliverables, timelines, success criteria, and data handling terms.
- "Deliverables": The outputs committed to in the Scope Agreement for a given engagement.
2. Acceptance of Terms
By using this website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of a company, you confirm that you are authorised to bind that company to these terms.
3. Service Description
Sahara Cortex provides the following services to UAE-based and regional businesses:
- Predictive Maintenance Pilot (AED 3,500): A 10–12 week scoped pilot for one equipment unit or production line, resulting in a validated model and a written performance report.
- Document Generation Helper (AED 1,950): A document drafting tool trained on client-provided samples, delivered with a written limitations guide.
- Initial Conversation (AED 380): A 45-minute assessment of whether AI tooling is appropriate for the client's situation. No further work is obligated by either party after this conversation.
Services are delivered in Dubai or remotely. We do not guarantee availability for projects beginning on specific dates — this is confirmed in the Scope Agreement.
4. Scope Agreements
Before any project work (Predictive Maintenance Pilot or Document Generation Helper) begins, both parties will agree to a written Scope Agreement specifying:
- Deliverables and their format
- Success criteria and how they will be measured
- Data provided by the client and how it will be handled
- Timeline and payment schedule
- What happens if the project does not reach the agreed success threshold
Work will not commence until the Scope Agreement is signed by both parties.
5. Payment Terms
Currency and method
All fees are in AED (UAE Dirham). Payment is accepted by bank transfer. An invoice will be issued before or upon commencement of each engagement.
Payment schedule
The Initial Conversation fee (AED 380) is payable before the session. For project-based services, payment terms are stated in the Scope Agreement — typically 50% on agreement and 50% on delivery of the final report or tool.
Refunds
The Initial Conversation fee is non-refundable once the session has taken place. For project-based services, partial refunds for work not yet undertaken may be agreed on termination — see Section 11. Completed deliverables are non-refundable.
6. Client Responsibilities
You agree to:
- Provide accurate information when using our contact form and during engagements
- Ensure that data you provide to us for project purposes is data you are authorised to share
- Review deliverables — including model outputs and document drafts — before acting on them
- Not use any tools or outputs we deliver for purposes outside the scope for which they were built
- Not reverse-engineer, redistribute, or resell deliverables without written consent
7. Intellectual Property
Upon full payment, you receive ownership of the deliverables created specifically for your engagement (trained models, document tool instances, reports). You receive a non-exclusive, non-transferable licence to use any supporting code or frameworks incorporated into those deliverables.
All content on this website — text, design, structure — remains the property of Sahara Cortex. You may not reproduce it without permission.
8. Disclaimers
AI models and document drafting tools are statistical tools with known limitations. We do not warrant that:
- Any predictive model will detect every failure or avoid every false alarm
- Document drafts will be suitable for use without human review
- The Initial Conversation will identify a viable project in every case — it may conclude that no project is appropriate
All services are provided on the basis of reasonable professional care and skill. They are not provided as a substitute for professional engineering, legal, medical, or financial advice.
9. Limitation of Liability
To the maximum extent permitted by UAE law, our total liability to you in connection with any engagement shall not exceed the fees paid for that specific engagement. We are not liable for:
- Indirect, consequential, or incidental losses
- Loss of profit, revenue, or data
- Losses arising from your failure to review deliverables before acting on them
- Events outside our reasonable control (force majeure)
10. Confidentiality
We treat all operational and business data provided during an engagement as confidential. We will not disclose it to third parties except as required by law. This obligation survives termination of the engagement.
11. Termination
Either party may terminate an engagement by written notice. If we terminate, we will refund fees for work not yet commenced. If you terminate after work has begun, fees for work already completed are not refundable. Both parties agree to discuss termination informally before issuing formal notice where possible.
12. Dispute Resolution
These terms are governed by the laws of the United Arab Emirates and the Dubai International Financial Centre (DIFC) courts or the Dubai Courts, as agreed in the Scope Agreement. We prefer to resolve disputes through direct discussion before engaging formal legal processes. In the event of a dispute, we will seek to reach an informal resolution within 30 days before either party pursues formal proceedings.
13. General Provisions
- Entire agreement: These terms, together with any Scope Agreement, form the entire agreement between us for the relevant engagement.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not waive our right to enforce it in future.
- Assignment: You may not assign your rights under these terms without our written consent.
14. Changes to These Terms
We may update these terms from time to time. The revised version will be posted on this page with an updated date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
